“Thanks for Nothing” Campaign - Terms and Conditions

Eligibility. To be eligible to participate, entrants must be: (a) a legal resident of the United States or the District of Columbia; (b) at least 18 years of age; and (c) have a valid Facebook or Instagram account. Void where prohibited or restricted by law. Sponsor’s employees and their immediate family members (spouses, parents, children, siblings and their respective spouses) or persons living in the same households of such employees, whether or not related, are not eligible to participate. All officers, directors and agents of Sponsor, or marketing or advertising agencies, or others involved with the design, production, administration or distribution of this promotion, and their immediate families or household members, regardless of relationship, are not eligible to participate or receive a free gift. This promotion is in no way sponsored, endorsed or administered by, or associated with, Facebook or Instagram. You understand that you are providing your information to Sponsor and not to Facebook or Instagram. Submissions received from ineligible participants will be disqualified. By participating in this promotion, entrants accept and agree to be bound by these Terms and Conditions and the decisions of Sponsor, which shall be final on all matters. Sponsor reserves the right to modify these Terms and Conditions in any way at any time, subject to state or federal law.

Promotion Period. The “Thanks for Nothing” Campaign starts on May 10, 2023, at 8 am Central Daylight Time (CDT) and ends on June 30, 2023, at 11:59 pm CDT.

Entry Requirements. To enter, eligible participants are required to: (1) create a short, positive thank you video for their safety manager; (2) post the video to Facebook or Instagram with #RedWingSafetyHeroes; and (3) when contacted by Sponsor by DM, provide their name and mailing address (where the free gift will be sent) and sign and return Sponsor’s release form. Limit one (1) video submission per person. Duplicate entries or entries that do not comply with the requirements in these Terms will be disqualified, in Sponsor’s sole discretion. Video submissions must satisfy all of the following requirements: (i) video must be original and must not have been copied from another work; (ii) the video must not infringe another party’s work or contain any intellectual property, copyrighted material, or images owned by any other person or entity; (ii) video may not contain inaccuracies, misleading or deceptive claims or statements, or any material which is unlawful, inappropriate, defamatory, infringing, harmful, obscene, hateful, or offensive, or which depicts any person or entity in a false or harmful light; (iii) video must not violate any person’s right of publicity or privacy or contain any names, likenesses, titles, images, uniforms, brands, indicia, intellectual property, or affiliations of individuals, entities or companies, who have not consented to the use of the same in this campaign, including without limitation, images of any third parties unknown to the entrant; and (iv) video must not violate any policies, rules, guidelines or standards of any company, employer, union, professional organization, or other organization or entity whose members are featured in or appear in the video. Participants understand and agree that all videos and other information submitted to Sponsor shall become the property of Sponsor and will not be returned. Participants further agree to sign a liability and publicity release provided by Sponsor to allow Sponsor and its affiliates and agents to print, publish, broadcast, distribute and use, worldwide in any media, their video submission, including without limitation, participants’ name, image, likeness, statements, and biographical information, for any purpose, including for advertising, public relations, and promotional purposes, without notice or compensation. Participants waive any and all rights in their video submission, including without limitation, all moral rights. Participants further agree to assign all right, title and interest in the video submission, worldwide and in perpetuity, to Sponsor, and to timely execute Sponsor’s affidavit of eligibility, liability release, assignment, and other documentation. Participants agree that they will not be entitled to any compensation or other consideration from Sponsor. Sponsor has sole discretion and has no obligation to use, display or post videos submitted in connection with this promotion.

Copyright Assignment. Participants agree that videos submitted will be deemed works made for hire under the copyright laws of the United States and will be owned by Sponsor. In the event this is not possible, participants hereby irrevocably assign and transfer to Sponsor all right, title and interest in the video submission in consideration of a free gift. Sponsor reserves the right to alter, change or modify any video in its sole discretion. Upon request of Sponsor, participants shall execute and deliver such additional instrument of assignment, as may be solely deemed by Sponsor, reasonably necessary to establish Sponsor as the owner of all right, title and interest in the video submission.

Modification, Limitation of Liability and Dispute Resolution. Sponsor reserves the right, in its sole discretion, to modify, terminate, or suspend this promotion should viruses, bugs, unauthorized human intervention or other causes beyond Sponsor’s control corrupt or impair the administration, security or fairness of the promotion. Sponsor is not responsible for any human or technological error that may occur nor is Sponsor responsible for any error, omission, interruption, deletion, defect, communications line failure, theft or destruction of, unauthorized access to, delay in operation, transmission, or distribution of, or alteration of entries, whether caused by the sender, any of the equipment or programming associated with or utilized in this promotion, or otherwise. By participating in the campaign, participants release Sponsor, its affiliates, directors, officers, employees, representatives, partners and agents from any liability whatsoever for any claims, costs, injuries, losses or damages of any kind arising out of or in connection with this promotion or with the acceptance, possession or use of any gift, including, without limitation, claims, costs, injuries, losses or damages related to personal injuries, death, damage to, loss or destruction of property, rights of publicity or privacy, defamation or portrayal in a false light. Except where prohibited, each participant agrees that: (a) all issues and questions concerning these rules shall be governed by Minnesota law without giving effect to any principles of conflicts of law of any jurisdiction; (b) any and all disputes, claims and causes of action at law or in equity arising out of or relating to this promotion shall be (i) resolved individually, without resort to any form of class action; and (ii) filed only in the state courts situated in Minnesota, and participant hereby consents and submits to the personal jurisdiction of such courts for the purposes of litigating any such disputes, claims or causes of action; (c) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, but in no event shall include attorneys' fees; and (d) under no circumstances will any participant be permitted to obtain awards for and hereby waives all rights to claim punitive, incidental, special, consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.
